Welcome. These Terms of Service ("Terms") govern your use of the orthocentricai.com website (the "Site") and any SMS messaging program operated by OrthoCentric AI, LLC on behalf of a contracted orthopaedic surgical practice (the "SMS Program"). OrthoCentric AI, LLC ("OrthoCentric AI," "we," "our," or "us") is a Maryland limited liability company headquartered at 8906 Mackall Court, Frederick, MD 21704. By accessing the Site or by participating in the SMS Program, you agree to these Terms.

1. Eligibility

The Site is intended for users 13 years of age or older. The SMS Program is intended for adult patients of contracted orthopaedic surgical practices, or for the parent or legal guardian of a minor patient communicating on the minor's behalf. By using the Site or participating in the SMS Program, you represent that you meet these requirements.

2. The SMS Program

2.1 What the SMS Program is

OrthoCentric AI operates an SMS messaging service on behalf of contracted orthopaedic surgical practices. The SMS Program delivers, to patients who have signed written consent to receive SMS communication from their orthopaedic surgical practice, the following message types:

Acknowledgements that a patient-initiated message (sent by SMS, patient portal, voicemail, or web chat) has been received and routed to the patient's care team;
Post-operative check-in prompts asking about recovery progress;
Appointment confirmations and reminders;
Care-team callbacks responding to patient inquiries.

2.2 What the SMS Program is not

The SMS Program is not a substitute for emergency medical care. If you are experiencing a medical emergency, call 911 or go to your nearest emergency department. Do not use the SMS Program to report or seek treatment for a medical emergency. The SMS Program is not designed to provide real-time clinical advice; it is a communication and routing tool that helps your orthopaedic surgical practice respond to your messages.

2.3 Consent, opt-out, and message frequency

Patients are enrolled in the SMS Program only after providing signed written consent through their orthopaedic surgical practice. You may opt out of the SMS Program at any time by replying STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any SMS message we send. Reply HELP or INFO for help with the SMS Program. Message frequency varies and is driven by your post-operative care plan and your own messages. Message and data rates may apply; consult your mobile carrier for details. 2.4 Patient responsibilities

By participating in the SMS Program you agree to:

Provide accurate information, including a current mobile telephone number that you are authorized to use;
Notify your orthopaedic surgical practice if your mobile telephone number changes;
Not use the SMS Program in a manner that violates any law or this Agreement;
Recognize that SMS is not a secure or guaranteed-delivery medium, and that you should not rely on SMS for time-critical clinical questions. For emergencies, call 911.

3. Site use

3.1 Permitted use

You may use the Site to learn about OrthoCentric AI and our products and to contact us. You may not use the Site to:

Violate any applicable law or regulation;
Infringe the intellectual property rights of OrthoCentric AI or any third party;
Interfere with or disrupt the Site, our servers, or networks connected to the Site;
Attempt to gain unauthorized access to any portion of the Site or to any related system, account, or data;
Use any automated means (including scrapers, bots, or spiders) to access the Site, except as we explicitly authorize.

3.2 Intellectual property

The Site and all content on it, including text, graphics, logos, software, and the OrthoCentric AI name and brand, are owned by OrthoCentric AI, LLC or its licensors and are protected by United States and international intellectual-property laws. Nothing in these Terms grants you any right or license to use any OrthoCentric AI name, logo, or trademark.

4. Not medical advice

Information on the Site and messages sent through the SMS Program are for general informational and care-coordination purposes only. They do not constitute medical advice, diagnosis, or treatment, and they do not establish a physician-patient relationship between you and OrthoCentric AI. Always consult a qualified healthcare provider with any questions you may have about a medical condition. If you think you may have a medical emergency, call 911 immediately.

5. Privacy

Your use of the Site and the SMS Program is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what information we collect, how we use and share it, and your choices.

6. Third-party services

We use third-party service providers to operate the Site and the SMS Program, including our SMS carrier (Twilio), application infrastructure provider (Supabase), website hosting provider (Netlify), and model vendor for clinical-rule application (Anthropic). These third parties are bound by contractual confidentiality obligations and process information only on our instructions. We are not responsible for the practices of any third-party services we do not control, including your mobile carrier.

7. Disclaimers

THE SITE AND THE SMS PROGRAM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, ORTHOCENTRIC AI DOES NOT WARRANT THAT THE SITE OR THE SMS PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY MESSAGE WILL BE DELIVERED. SMS DELIVERY IS SUBJECT TO YOUR MOBILE CARRIER'S NETWORK AND TO FACTORS BEYOND OUR CONTROL.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORTHOCENTRIC AI AND ITS OFFICERS, EMPLOYEES, AGENTS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR THE SMS PROGRAM, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR THE SMS PROGRAM WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless OrthoCentric AI and its officers, employees, agents, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your violation of these Terms or your misuse of the Site or the SMS Program.

10. Termination

We may suspend or terminate your access to the Site or the SMS Program at any time, with or without notice, for any reason, including without limitation if we believe you have violated these Terms. You may stop using the Site at any time. You may opt out of the SMS Program at any time as described in Section 2.3.

11. Governing law and disputes

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising from or related to these Terms, the Site, or the SMS Program is the state or federal courts located in Frederick County, Maryland, and you consent to the personal jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when these Terms were most recently revised. Continued use of the Site or the SMS Program after a revision constitutes acceptance of the revised Terms. If a revision materially reduces your rights, we will provide reasonable advance notice as required by applicable law.

13. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OrthoCentric AI with respect to your use of the Site and the SMS Program. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign your rights or obligations under these Terms without our prior written consent. OrthoCentric AI may assign its rights and obligations without restriction.
